The liquidation of a company is a complete cessation of its financial and economic activities and, at the same time, a legal basis for the dismissal of all employees without exception. The legislator refers this kind of termination of employment relations to dismissals at the initiative of the employer - Art. 81 of the Labor Code, where the liquidation of an enterprise is listed in clause 1, part 1.

The concepts of "liquidation" and "reorganization" of a legal entity should not be confused: in the latter case, the organization does not cease to exist, but only changes its organizational and legal form (for example, from unitary enterprise transforms into joint-stock company). The change of the owner of the company's property is not a liquidation either - on this basis only the management staff of the team can be dismissed with reference to paragraph 4 of part 1 of Art. 81 TK.

A prerequisite for the dismissal of employees under paragraph 1 of Part 1 of Art. 81 of the Labor Code is the availability of documentary evidence of the organization's entry into the process of completing its activities. Such a document may be:

  • the decision of the owner or collective body of a legal entity to which such a right is granted by the constituent documents;
  • court decision (when violations are established in the process of creating an organization or in connection with the recognition of a company as financially insolvent (bankrupt)).

Important! On the grounds under consideration, the employer cannot terminate the employment relationship - individual. As a goal pursued in the employment of citizens, he has the right to declare only the satisfaction of personal needs, but not the implementation of any type of activity that can be stopped.

The procedure for liquidating an organization is quite complicated - it involves the creation of a specialized managing body (liquidation commission), drawing up a liquidation balance sheet, satisfying creditors' claims, etc. One of critical issues standing in the process of liquidation - registration of the completion of labor relations with members of the team. In order to avoid the problems associated with challenging the legality of dismissal in the future, the employer should be very careful about observing the procedure prescribed by law. In particular, this is related to the warning about impending layoffs of the employees themselves and the employment center:

  1. Each dismissed employee (full-time or part-time) must be warned no later than 2 months before the date of termination of the contract. At the same time, seasonal and temporary workers can be warned later - seven and three calendar days, respectively (hereinafter, temporary employees are understood to be citizens who have concluded a contract for less than two months).
  2. Not later than two months (and in case of mass layoffs - three) - it is necessary to send a written notice to the local employment center.

Important! According to Art. 82 of the Labor Code, the criteria for mass character are determined by regional or industry agreements. However, today, in practice, the relevant provisions of the Decree of the Government of the Russian Federation No. 99 dated 05.02.1999 are used, according to which mass layoffs should include:

  • dismissals during the liquidation of an enterprise of any organizational and legal form with a staff of 15 or more people;
  • dismissal of employees in the amount of 1% of the total number of employees due to the liquidation of enterprises or reduction in the number or staff within 30 calendar days in regions with a total number of employed less than 5 thousand people.

The procedure for terminating contracts with employees

The liquidation of the organization is the only reason that gives the right to dismiss all, even the most protected categories of workers. So, they have no privileges in this case:

  • pregnant women;
  • workers sent on social leave to care for a child;
  • parents raising a child with a disability;
  • single mothers;
  • pensioners, etc.

In addition, those persons who are currently on sick leave are also subject to dismissal. Wherein sick leave will be paid only if the citizen presents it before the day of the actual liquidation of the company.

If we talk about the order of dismissal of employees, then in practice there is rarely a one-time termination of contracts with the entire team. As a rule, first of all, employees who are directly involved in production activities, then - employees of support services (leading administrative and economic activities), after - employees of the divisions involved in the process of liquidation (lawyers, personnel officers, accountants, etc.).

The dismissal procedure is the following sequence of actions:

  1. Employee warning. The legislation does not contain a unified form of a document for notifying members of the labor collective about upcoming layoffs due to the termination of the enterprise. Some employment centers offer employers to use their own developed standard forms, in other cases, the organization draws up a document on its own. The notice must contain:
    • information about the reason for dismissal;
    • information about the guarantees due to the person in connection with the dismissal;
    • information about the date of the last day of work.
  2. Registration of early termination of labor relations. By mutual agreement of the employee and the employer, labor relations may be terminated early with the payment of the average salary for the days remaining until the original planned date of dismissal.
  3. Issue of the order. This administrative document must contain a reason with reference to Art. 81 of the Labor Code and the date of dismissal. The order can be issued on any day from the moment the employee is notified and ending with the entry into the Unified State Register of Legal Entities about the liquidation of the company.
  4. Making payments to employees.
  5. Completion Recording labor activity in the work book, personal file and personal card of the worker.
  6. Notice of termination of the contract of the bailiff service, if the employee is a debtor for enforcement proceedings, the military registration and enlistment office - if he is registered with the military.

With all notices and an administrative document on dismissal, a citizen must be familiarized personally and against signature with the date of familiarization. If he refuses to get acquainted with these documents or he is absent at the place of work, and it is not possible to notify him, an appropriate act is drawn up about this, and the document is sent by mail to his address of residence.

The fact that an organization is in the liquidation procedure does not exclude the possibility of dismissal of employees for other reasons. So, with the consent of a citizen, he can be dismissed by transfer to another employer, by mutual agreement of the parties, by own will etc. It should be remembered that such a dismissal significantly worsens the position of the worker, which means that in order to avoid a litigation in the future, the person should still be warned about the guarantees due to him in the prescribed manner.

Severance pay in the amount of one average monthly salaryThe payment is accrued in all cases of dismissal due to the completion of the activities of the company or individual entrepreneur. However, for seasonal and temporary workers there are some features:
  • for seasonal workers, the amount of the allowance is reduced to two weeks' average earnings;
  • Temporary employees do not receive benefits.
To calculate the severance pay, the average daily salary is calculated using the formula:

October 2016 will have 21 business days.

Abolition of a structural unit: is it possible to apply the rules of dismissal to liquidate a legal entity?

The provisions of Part 4 of Art. 81 of the Labor Code of the Russian Federation allow dismissal according to the rules established for the liquidation of an organization upon termination of activities structural unit whose location is different from that of the parent company. Branches, representative offices, as well as structural subdivisions of a different organizational and legal form fall under the above procedure, regardless of the indication of information about them in founding documents legal entity, if they are located separately from other divisions. At the same time, neither when a department is abolished nor when a company is reorganized, the dismissal rules established for liquidation do not apply.

The procedure for dismissal during the liquidation of a structural unit is no different from that described above, with the exception that instead of “liquidation of an organization”, “abolition of a structural unit” is indicated as the basis for dismissal in all documents.

What rights do workers have

The law stands guard over the interests of a working citizen at any stage of the development of labor relations, including when they are terminated. However, due to the termination of the company's activities, due to the specifics of this ground for cancellation of the contract, the employee receives only a minimal set of powers. So, in the course of dismissal on the basis under consideration, it is impossible to use the pre-emptive right further work, the opinion of the trade union is not taken into account.

In the process of dismissal on the grounds under consideration, a citizen has the right to:

  • get acquainted with the documents relating to his dismissal (warnings, notices, orders, etc.);
  • accept the offer or refuse to give consent to the offer of the employer for early dismissal with the payment of average earnings;
  • write a letter of resignation on a different basis;
  • receive compensation payments in connection with the termination of employment (compensation for non-vacation leave, severance pay, including for the next two months in case of unemployment);
  • apply for protection of the rights violated by the employer to the labor inspectorate, the prosecutor's office or the judiciary;
  • register as unemployed and receive benefits in the amounts determined by law.

Important! Early dismissal with payment of the average salary in the legislation is presented as the right of the employer, but not the employee, with the only proviso that the written consent of the latter is a prerequisite for this. Accordingly, the procedure documentation in this case, it does not begin with the employee’s statement, but with the proposal of the employer, with whom the employee gets acquainted against signature. He can express his consent or disagreement in the form of an appropriate mark on the same document or in a separate statement.

The employer is obliged to provide complete information about the dismissed employees:

  • Occupation of the employee.
  • Rank, experience, profession.
  • Conditions and order of payment for work.

It is necessary to notify under the signature of employees who are on business trips, that is, the employee must be recalled to notify him from a business trip, otherwise he can only be dismissed after two months from the date of such notification.

Notification of employees occurs only in writing. The notice is issued in free form, which must indicate the date when the employee got acquainted with it. The employee must receive one copy in his hands, and the second remains with the employer.

If for some reason the employee does not want to sign the notification, then an act is drawn up. Such an act describes that the employee received the appropriate written notice of dismissal at such and such a time. The act is signed by witnesses, which may be other employees. Such a document is drawn up in free form, signed by the responsible representative of the employer.

An employee may be dismissed early if there is his written consent to such a procedure.

Order and entry in the work book

At the end of the period for notifying an employee, provided for by law, the director of the enterprise has the right to issue order No. T-8 or T-8a, on the termination of the employment agreement. After familiarizing the employee against receipt with such an order, a corresponding entry is made in his work book.

On the day that is the last working day, the employee is paid all due payments, and a completed employment history. The moment of termination of the employment agreement, in this case, is the last working day of the employee.

Employer obligations:

  • Payment of wages for the period worked on the last estimated term of dismissal.
  • Compensation for unused vacation.
  • severance pay.

The procedure for payments and their calculation

Unused vacation

In the event that an employee has not “went” on vacation for several years, then compensation should occur for all this time. An employee who has worked for less than six months at the enterprise is paid compensation in accordance with the general procedure established by law.

In order to correctly determine the amount of compensation, you need to set the number of days that the employee had to spend on vacation. The calculation is based on the fact that the employee is entitled to 28 calendar days of rest per year.

Vacation is determined based on a non-calendar year, but on the actual hours worked from the start of work. That is, the working year begins precisely from the moment when, under an employment contract, the employee began his duties.

In fact, labor law, in relation to this provision, clearly prescribes the norms according to which vacation is calculated - for each calendar month of the working period, the employee must rest 2.33 days. That is, they take the number of months worked, during which the employee did not rest and multiply by the number of days due, vacation due. If the period when calculating the number of months worked is not an integer, then the norms are used labor law USSR, namely, they are rounded up or down, based on the days worked of an incomplete month. So if 14 days have been worked, then the period is rounded down, and if more than 15 days, then vice versa.

How to calculate compensation, an example of such a calculation

For example, an assistant secretary began his duties under an employment agreement on March 5, 2013 and worked until the liquidation of the organization, namely April 20, 2015. In 2014, an employee took a vacation of 16 days.

Calculation:

  1. It is necessary to calculate the entire calendar leave due to the employee - it is 49 months and 15 days, and therefore, on the basis of the law, 50 months, because 15 days are rounded up. This means that the vacation due is 28 days for each working year - 56 days + 5 days (2.33 * 2 months of a part-time year) vacation for a part-time year. Total 61 days.
  2. Compensation must be paid at the rate of 61 days-14 days of vacation taken earlier, which is 47 days.

Payment for unused vacation is determined by multiplying the employee's average earnings for one day by the number of days of "unused" vacation.

The cost of compensating for unused vacation, the subject has the right to attribute to the costs of the enterprise for payment wages employees. Taxation in this case is carried out in a general manner.

Sometimes, according to the norms of the law, an additional agreement with an employee or a collective agreement, an extraordinary vacation is possible. In this case, the enterprise cannot attribute to the expenses of the enterprise the costs associated with such payments.

Taxation of payments upon dismissal in connection with the liquidation of the organization

For such payments, the accrual is mandatory:

  • Pension contributions.
  • Injury allowance.

Retirement allowance

The essence of the severance pay is that it reimburses the person for wages that he will not be able to receive during the month after his dismissal.

Such assistance is paid to employees:

  • In the amount of the average monthly salary of an employee of the enterprise.
  • In the amount of wages of an employee for two weeks, attracted for seasonal work.

Employees working part-time are paid in full. Employees who, under an employment agreement, were hired for a period of less than two months - benefits are not paid.

Benefit calculation

The amount of assistance received by an employee is determined by calculating the actual number of days worked for a certain period. The amount of assistance is calculated by determining the number of working days in the month following the dismissal.

It should be noted that the average daily earnings are calculated not on the basis of calendar days, as in the case of payment for unused vacation, but on the actual number of days worked.

That is, earnings for a certain period amounted to - 423,567 rubles, and the actually worked number of days is 253, therefore, the average daily income will be - 1,674 rubles.

Benefit Calculation Example

For example, in the next month after dismissal, the number of working days is 23, then the amount of the benefit will be 23 * 1674 rubles = 38,506 rubles.

Payment of benefits and dismissal. Order of appointment and calculation

A dismissed employee of a liquidated enterprise has the right to retain his average monthly earnings for two months. Moreover, in the first month, the received severance pay is taken into account. When employed in the second month, the average monthly salary is paid based on the number of days that the person did not work in that month.

For example, in the second month a person got a job at a new job and worked 12 days out of 23, then the average monthly salary is paid based on 11 days in which the person did not work. If a person applied to the employment center within two weeks after the dismissal and was not employed within two months, then by decision government agency, he must be paid the average monthly earnings for the third month.

It is worth noting that working pensioners receive earnings under the same conditions, since they have the same rights as all employees of the enterprise.

Who is not paid the average salary for the period of employment

Employees employed part-time, because they have a main place of work, employees hired for seasonal work and persons who, under an employment agreement, were hired for a period of less than two months, cannot claim benefits.

Severance payment

Payment of the average monthly earnings occurs upon written application of the person and the submission of relevant documents. The payment is made by the liquidation commission. Such a payment can only be received when the enterprise has not yet been abolished.

Severance pay for employees paying alimony

Many enterprises employ persons who pay alimony; alimony is deducted from such an allowance in the general manner, despite the fact that the allowance is classified as compensatory. The fact is that the government has established a list of income and other types of payments from which alimony is withheld.
