Mikhail Oseevsky graduated from the Leningrad Polytechnic Institute with a degree in engineering electrophysics. In 2003-2011, he worked in the government of St. Petersburg as a vice-governor and headed the administration of the governor of St. Petersburg. In 2011 he became Deputy Minister economic development, in 2012 he took the post of Deputy President - Chairman of the Board of VTB.

Earlier, at a meeting with Russian Prime Minister Dmitry Medvedev, Mikhail Oseevsky, that as head of Rostelecom he intends to work on expanding the set of digital services and new areas of services, their distribution in hard-to-reach regions. The former banker also said that he plans to improve internal efficiency and reduce costs in the company.

Kalugin to become Deputy Minister of Telecom and Mass Communications, the head of the ministry, Nikolai Nikiforov, said earlier. Sergey Kalugin is also nominated to the board of directors of Rostelecom as a representative of the state. In addition to him, the candidates from the state to the council were: Mikhail Oseevsky, special representative of the President of Russia on environmental issues, ecology and transport Sergey Ivanov, head Russian fund direct investment Kirill Dmitriev, General Director of State Television Channel Rossiya Anton Zlatopolsky, First Deputy Chairman of Vnesheconombank Mikhail Poluboyarinov and Vice President of Gazprombank Alexander Pchelintsev.

Sergey Kalugin became President of Rostelecom in March 2013. A two-year contract was signed with him, and in March 2015 it was extended for another three years. At the same time, there could be no obvious claims to Kalugin's work, Raiffeisen Bank analyst Sergei Libin said earlier. However, as two sources of RBC in the market, Oseevsky's candidacy for the post of head of Rostelecom was lobbied by the VTB group, which intended to sell its stake in their joint venture, T2 RTK Holding, to the state operator (provides mobile communication services under the Tele2 brand). Sergei Kalugin, in turn, opposed such a deal.

The head of VTB Andrey Kostin, however, later that at this stage the group is not discussing the sale of a stake in the joint venture to Rostelecom, although it was stipulated that the shares in T2 RTK Holding could change.

T2 RTK Holding was established in 2014 as a result of the merger of the mobile assets of Rostelecom and Tele2 Russia. Rostelecom received 45% of the company, the rest was divided in an unknown proportion by VTB, structures of Rossiya Bank and Alexei Mordashov. At the beginning of 2013, VTB bought out 100% of Tele2 Russia from the Swedish Tele2 AB, and in the autumn it sold 50% in the operator to the structures of Rossiya Bank and Alexei Mordashov.

The merger with the mobile assets of Rostelecom expanded the geography of Tele2 Russia and made it possible in October 2015 to launch mobile services under the Tele2 brand in Moscow. At the same time, the construction of networks in the metropolitan region required significant expenses from the operator (their amount was not disclosed), but entering this market did not have a significant effect on the operator's subscriber base. By the beginning of 2017, T2 RTK Holding had 2.5 million subscribers in Moscow, Interfax reported, citing its sources. The company itself in mid-2016 ceased to disclose this figure, as well as its financial results. AC&M estimates the total number of cellular subscribers in the capital at about 43 million people. There were 13 candidates running for 11 seats on the council. As a result of the voting, the board was renewed by more than half - 6 new directors appeared in it.

New members

In particular, the board included the general director of the Gazprom-Media holding Mikhail Lesin, who in 1999-2004. served as minister of the press. The ex-official has experience working with the current president of Rostelecom Sergey Kalugin. In 2010-2011 Lesin was the chairman of the board of directors of the National Telecommunications (NTK) holding, which was then headed by Kalugin. The owner of the NMG was the National Media Group, one of the main shareholders of which is Bank Russia by Yuri Kovalchuk.

Lesin is considered a figure close to Kovalchuk. For example, a few years ago, NMG acquired the Video International agency, which Lesin was considered to be a co-owner. In addition, the Bank of Russia through management company Leader has an indirect influence on Gazprombank, the owner of Gazprom Media.

The appearance of Lesin on the board of directors of Rostelecom fell on the period of active cooperation between the operator and the Bank of Russia. In 2013, Bank Russia became a co-owner of Tele2, to which Rostelecom transferred control of its cellular assets.

Kalugin said that Lesin would help Rostelecom develop the media direction: for example, Rostelecom was negotiating the purchase of a stake in the Lifenews TV channel (as a result, it limited itself to advertising).

Entered the board of directors of Rostelecom and David Benello, member of the board of directors of Telekom Malasiya and former director McKinsey. He became the first foreigner on the board of Rostelecom.

For the first time since 2011, the board of directors of Rostelecom also included officials: head of the property relations and privatization department largest organizations Rosimuschestvo Vitaly Sergeychuk and Advisor to the Minister of Communications Igor Kozlov, who previously worked at AFK Sistema.

On June 14, 2012, the shareholders of Rostelecom OJSC elected a new board of directors, which included a representative of Marshall Capital - the managing director of this fund, Sergey Azatyan. The presence of Gazprombank has increased in the new council, while Vnesheconombank has decreased. Eight seats, as in 2011, were left to representatives of Svyazinvest.

Seven of them were members of the previous SD - except for Mikhail Leshchenko. On June 14, following the voting results, the latter took the place of Alexander Pertsovsky, a consultant at Renaissance Broker, who had previously represented Svyazinvest on the board of directors.

Anatoly Milyukov was nominated to the board of directors by two shareholders at once - Svyazinvest and Gazprombank itself (as of February 29, the bank held a 9.66% stake in Rostelecom), which represents the interests of the Marshall Capital fund in the operator's capital.

Also, the managing director of the Moscow representative office of MarCap Advisors, Sergey Azatyan, was nominated from this bank and passed to the board.

The presence of VEB's representatives has been reduced: only Yury Kudimov, CEO of VEB Capital, was included in the new council, while the previous composition included him and VEB's first deputy chairman Anatoly Tikhonov.

In addition, Anton Inshutin, managing partner of Inventure partners, joined the board. He was nominated by Mobitel, a subsidiary of Rostelecom.

The ex-general director of Svyazinvest Evgeny Yurchenko, who proposed his candidacy for the third time, again did not get into the board of directors.

In March 2012, Gazprombank, together with Marshall Capital, presented five candidates to the board of Rostelecom. From Gazprombank, the companies nominated Anatoly Milyukov (formerly a member of the board of directors) and Vladimir Rumyantsev, head of the telecommunications, media and high technologies department. On June 27, 2011, the shareholders of Rostelecom re-elected a new board of directors of the company. One of the members of the updated council was the Minister of Telecom and Mass Communications Igor Shchegolev, for whom all the minority shareholders of Rostelecom voted.

The minister himself, however, asked not to be elected to the board of directors even before the start of the meeting of shareholders, in connection with the order of President Dmitry Medvedev that officials should leave the boards of directors of state-owned companies.

Thus, the minority shareholders of Rostelecom went against D. Medvedev's course and, contrary to his order, almost forcibly elected the current minister to the board of directors of the state-owned company. "The head of the Ministry of Telecom and Mass Communications signed a corresponding statement, which was submitted to Rostelecom, but for some reason the minority shareholders ignored it," Denis Afanasiev, adviser to the head of the department, said after the meeting.

"Given that, despite my request not to vote for my candidacy, I was elected to the Board of Directors, I inform you that I will not take part in the work of the Board of Directors, and I ask you not to notify me of meetings and absentee voting , and also not send me any materials," D. Story

Until 1990, the Ministry of Communications of the USSR was responsible for providing communication services. On June 26, 1990, the USSR Ministry of Communications established the state joint-stock company Sovtelecom, which was given the rights to operate the USSR telecommunications network.

Mergers and acquisitions

At the end of August 2008, Rostelecom acquired 68.41% of the voting shares of the Internet provider RTComm.RU, increasing its share to 99.5%.

On February 4, 2011, Rostelecom, OJSC Uralsvyazinform and OJSC North-West Telecom completed the acquisition of a 71.8% stake in OJSC National Telecommunications, which owns NKS. Rostelecom acquired 21.8% of the shares, OJSC Uralsvyazinform and OJSC North-West Telecom acquired 25% each.

In June 2011, Rostelecom acquired a 39.87% stake in OJSC Bashinformsvyaz.

In early August 2011, it became known that a deal was being prepared for the sale by SMARTS of a 49% stake in Orenburg-GSM and a 50% stake in Volgograd-GSM to Rostelecom. Accession of interregional communication companies

On May 29, 2009, the Government Commission for Transport and Communications adopted the concept of reforming the Svyazinvest holding on the basis of OJSC Rostelecom, and on October 20, the Board of Directors of OJSC Svyazinvest unanimously approved a plan for reorganizing the holding in the form of a merger of seven interregional communications companies with Rostelecom ( RTOs) - VolgaTelecom OJSC, Dalsvyaz OJSC, North-West Telecom OJSC, Sibirtelecom OJSC, Uralsvyazinform OJSC, CenterTelecom OJSC, YuTK OJSC, as well as Dagsvyazinform OJSC (Open joint stock Society of Communications and Informatics of the Republic of Dagestan) during 2010-2011. According to the reorganization plan, Svyazinvest itself must cease management and methodological activities in 2011. On June 26, 2010, the shareholders of Rostelecom decided to reorganize the company in the form of a merger with all seven RTOs and OJSC Dagsvyazinform. Accession of Svyazinvest

On May 20, 2011, the government commission approved the merger of Rostelecom and Svyazinvest, which owns it, but will consider the final scenario later. Svyazinvest will soon own state-owned stakes in Ingushelectrosvyaz, Bashinformsvyaz, MMTS-9, Central Telegraph and Chukotkasvyazinform.

Cellular communication of the GSM standard

Rostelecom actually includes 10 operators operating in 30 regions of the Russian Federation, and included in its structure in the process of absorption of interregional communication companies. Their subscriber base at the end of 2009 was 16 million users, which, according to their own data, corresponded to 9% of the market. After changing the methodology for accounting for inactive subscribers in the third quarter of 2010, their number decreased to 12.5 million people (at the beginning of 2011). Rostelecom implements GSM projects in the regions both independently and through subsidiaries. Also, as a result of competitions held by Roskomnadzor in April 2011, Rostelecom received GSM-1800 licenses in the Amur, Magadan and Sakhalin regions, Khabarovsk and Kamchatka territories, Yakutia, the Jewish Autonomous Region, Chukotka Autonomous Okrug, and a GSM 900/1800 license for the territory of the Koryak district of the Kamchatka Territory.

On November 30, 2011, the process of merging and rebranding of all the company's cellular assets began. Until mid-2012, cellular operators included in Rostelecom operated in co-branding mode (simultaneous use of the old and new logo), after which cellular services began to be provided under a single brand of Rostelecom.

NSS

CJSC NSS is a mobile operator of the GSM standard, 100% of whose shares are owned by OJSC Rostelecom (before April 1, 2011 - the merged OJSC VolgaTelecom). Provides its services in seven regions of the Volga region: Nizhny Novgorod, Penza, Saratov, Ulyanovsk regions, the Republic of Mordovia, the Chuvash Republic and the Republic of Tatarstan.

The company was established in 1995 and until 2007 operated as a mobile communications operator in the Nizhny Novgorod region. As a result of implementation of OJSC VolgaTelecom's Cellular Business Development Strategy, on December 1, 2007 regional cellular operators owned by OJSC VolgaTelecom were merged into NSS: OJSC Tatinkom-T, CJSC RTCOM, CJSC Saratov-Mobile, CJSC Chuvashia Mobile and CJSC Penza Mobile, December 1, 2009 - CJSC Ulyanovsk GSM. The company's subscriber base is about 3.7 million people (the second largest network of Rostelecom in terms of the number of subscribers after Utel).

Orenburg-GSM

Until September 1, 2011, Rostelecom owned a 51% stake in CJSC Orenburg-GSM, which provides services under the brand name Orenburg-GSM. CJSC "Orenburg-GSM" is a regional operator of digital communications of the GSM standard operating in the Orenburg region since 1997.

49% of the shares of this operator belonged to OJSC SMARTS, since 2006 OJSC VolgaTelecom has been negotiating the acquisition of full control over CJSC Orenburg-GSM, but the shareholders could not agree on the sale price of the shares. In August 2011, it was announced that a deal was being prepared to buy out 49% of this company from SMARTS OJSC.

In August 2012, CJSC Orenburg-GSM was merged with CJSC NSS, becoming the Orenburg branch of NSS.

Elaine-GSM

Rostelecom directly has a license to provide cellular communication services of the GSM 900/1800 standard (obtained as a result of the merger of OJSC VolgaTelecom on April 1, 2011) in the Republic of Mari El, where since 2001 services have been provided under the brand name Elain-GSM.

Elaine-GSM is one of the largest mobile operators in the Republic of Mari El and provides coverage for most of the territory of the Republic. The network developed very dynamically: at the end of 2001, the number of subscribers was 5,550; at the end of 2002 - 19 thousand; at the end of 2003 - 54.8 thousand; as of November 2004 - 100 thousand subscribers; as of July 2005 - 150 thousand; at the beginning of 2006 - 200 thousand subscribers.

At a press conference on July 13, 2004, dedicated to the third anniversary of Elaine GSM, it was officially announced that in the coming months Elaine-GSM would merge into Nizhny Novgorod Cellular Communications. At the end of 2004, many news agencies disseminated information that the Elaine GSM cellular network had merged into Nizhny Novgorod Cellular Communications CJSC. However, this information did not correspond to reality: in the message of OJSC VolgaTelecom's branch in the Republic of Mari El, it was about changing the code of the operator's network - on the night of December 16-17, 2004, instead of "MTS-RUS Aline GSM" on the screens of displays of mobile devices appeared ( depending on the phone model) "Aline GSM" or "NCC" or "RUS NCC" or "RUS 03" or "250-03". The event was of a technical nature and was associated with the arrival of the MTS operator in the region. Since September 7, 2007, for subscribers of all tariff plans of the cellular network "Eline GSM" a single preferential tariff for calls to the Nizhny Novgorod, Saratov, Penza regions, the republics of Tatarstan, Mordovia, Chuvashia has been established. A single cost per minute for an outgoing call to the subscriber numbers of all cellular operators and urban telephone networks in these regions has been introduced. In January 2012, the Rostov OFAS Russia fined Rostelecom in the amount of 1.3 million rubles. for repeated abuse of dominant position: the operator provided broadband Internet access services for residents of large cities and rural areas at different prices. The company carried out a marketing campaign only in some large cities of the Rostov region (subscribers of most municipal districts regions could not join the action). He was succeeded by the co-founder and former head of the broadband and pay TV operator National Cable Networks (NKS, a subsidiary of Rostelecom) Sergey Kalugin.

Both Provotorov and Kalugin are on the list of candidates for the company's new board of directors, which will be elected at annual meeting shareholders in June.

Provotorov, who headed Rostelecom for more than 2.5 years, is a member of the team of the former head of the Ministry of Telecom and Mass Communications, and now an assistant to the President of the Russian Federation, Igor Shchegolev. Provotorov headed Rostelecom in July 2010, in the summer of 2012 his contract was extended until July 2015.

Prior to joining Rostelecom, Provotorov was the first deputy general director of Svyazinvest (owns 45.29% of the operator's shares), where he developed a model for reorganizing companies. Having headed the operator, more than 55% of whose shares are collectively controlled by the state, Provotorov completed the first stage of the reform, under which in the spring of 2011 eight subsidiaries of Svyazinvest were merged with Rostelecom, which as a result turned from a long-distance operator into a multiservice company . The second stage of the reform, involving the accession to Rostelecom of the state holding itself with its subsequent liquidation, is planned to be completed in October 2013.

Under Provotorov, the company's strategy was adopted, which involves the development not only in its traditional fixed-line segment, but also the strengthening of positions in such promising sectors as mobile connection, pay TV, broadband internet, cloud technologies.

Under his leadership, the company has implemented many large-scale projects, including an unprecedented project in terms of timing and scope of work to organize video surveillance of the presidential elections in the Russian Federation in March 2012. Rostelecom created the infrastructure " e-government"Russia and launched a single portal of public services, created a system of interdepartmental electronic interaction (a key component of "electronic government"), developed and launched in 2012 the National cloud platform O7.

History of confrontation

After the change of leadership of the Ministry of Telecom and Mass Communications, which was headed by Nikolai Nikiforov in 2012, Provotorov's resignation became a matter of time, sources in the telecommunications market said. Nikiforov, as well as Deputy Prime Minister of the Russian Federation Arkady Dvorkovich, who oversees the telecom industry, have repeatedly criticized the leadership of Rostelecom for ineffective strategy and investment program, as well as a drop in share prices below the market.

However, according to sources, the real reason lay in the ministry's desire to neutralize the influence on the management of the state-owned company from the Marshall Capital investment fund founded by businessman Konstantin Malofeev, where Provotorov worked before joining Svyazinvest. Until recently, Malofeev was the largest minority shareholder in Rostelecom (in February he sold his 10.7% stake to the structure of Arkady Rotenberg), he was also called one of the ideologists of the reform of the Svyazinvest group and a friend of Shchegolev.

Shortly after Shchegolev became the head of the Ministry of Telecom and Mass Communications in 2008, and Malofeev became a shareholder of Rostelecom, MapCap representatives began to occupy senior positions in the companies of the Svyazinvest holding. Until now, Rostelecom's board of directors is largely made up of people associated with MarCap.

In September 2012, the Ministry of Telecom and Mass Communications prepared a draft directive providing for the resignation of Provotorov and the appointment of the current general director of Svyazinvest, Vadim Semyonov, as the head of the state operator. However, this initiative was blocked by the administration of the President of the Russian Federation, where Shchegolev works. In November 2012, the houses of Provotorov and Malofeev were searched as part of the Nutritek investigation into the theft of a $225 million loan from VTB. However, Malofeev called these searches pressure to replace the leadership of Rostelecom.

In February, the Ministry of Telecom and Mass Communications repeated its attempt to change the management of Rostelecom, proposing a new candidate, Sergei Kalugin. Provotorov himself wanted to leave the post of president of the state operator - he was burdened by the atmosphere around the company, said a source close to him. As a result, the Kremlin did not object to the appointment of Kalugin, as he is a "neutral candidate."

Provotorov left Rostelecom with an impressive reward: he will be paid annual bonus in the amount of 29 million rubles and a "golden parachute" for 200 million rubles for early departure from the company. He intends to send a significant part of these funds to charity, Provotorov told Prime.

Sergey Kalugin was born in 1966, in 1991 he graduated from the Faculty of Economics of Moscow State University. He worked as an economist, managing director for investments in Inkombank, president of IFC Inkom Capital. Since 2000 - General Director of RTR-Signal OJSC.

Kalugin is one of the founders of OAO NKS, established in 2001, of which he was the general director in 2001-2007. In 2005, the company was acquired by Suleiman Kerimov's Nafta group, merging it with its subsidiary Mostelecom into the National Telecommunications (NTC) holding. In 2008 NTK was sold to a group of investors headed by Yuri Kavalchuk's National Media Group (NMG). In 2011-2012, 100% of NTK was bought out by Rostelecom, in April 2012 Kalugin left the company.

Industry analysts find it difficult to comment on the appointment of Kalugin - he is little known to the market. However, they doubt that his arrival will radically change the strategic directions of the operator's development: the company still needs to reduce dependence on traditional services and increase the share of businesses with long-term growth prospects. First of all, we are talking about cellular communications and broadband access - both fixed and mobile, analysts are sure, simplified by the Prime agency.

Minority shareholders were optimistic about the news of Kalugin's appointment as president of Rostelecom. "We have no reason to be negative about the appointment of Sergei Kalugin as president of Rostelecom. As a public manager, we do not know him, but we hope that with his arrival the dialogue with minority shareholders, interrupted under Provotorov, will resume, and the company will become more transparent. This should favorably affect the capitalization of Rostelecom, which, in our opinion, is undervalued today,” Denis Kulikov, executive director of the Association for the Protection of Investor Rights (IPA, represents the interests of minority shareholders), told Prime.

"Kalugin is one of the founders of NKS, the most promising operator of broadband access and pay TV in Moscow, the purchase of which by Rostelecom was once supported by API. If he extends the experience gained in NKS to Rostelecom, this will have a positive effect on the operator," Kulikov added.
