The legislation has not developed any requirements for the content of the document, and even more so there is no single form. Therefore, each company can use its own form. The document usually contains the following information:

  1. The full name of the company, the number of the protocol and the date of its compilation. The numbering can be carried out through - with the beginning of the countdown from each calendar year.
  2. Composition of those present:
  • chairman of the commission;
  • executive secretary fixing the entries in the minutes;
  • the rest of those present - usually the list is placed at the end of the document.

  2. List of speakers (name, position, topic of speech, issues raised).
  3. Decisions that were made as a result of the meeting.
  4. Signatures of the chairman and secretary, transcripts of signatures (surname and initials).
  5. If additional documents are attached to the protocol, as well as materials of audio recordings, photo and video filming, this fact must be reflected in the document. At the end, the word “Appendices” is written and the names of documents and other materials, their number and type (original or copy), as well as the number of pages are listed.

Extract from the protocol

If it is necessary to obtain some information from the protocol, an extract is drawn up. This document is an exact copy of part of the protocol. The extract must record the date of preparation of the main document, its number, and the name of the company. The role of the protocol

Meetings in organizations, regardless of their status, business line and size, are held with a certain frequency. They allow you to solve many current problems, take the necessary measures in a timely manner to resolve complex issues, determine the company's development strategy, etc.

However, not all meetings are recorded using minutes and this is not a violation of the law. In principle, the company's management has the right to determine which meetings need to be recorded, and which can be held without issuing this document.

The main function of the protocol is to record in writing all the tasks, questions, opinions voiced at the meeting and, most importantly, collective decisions.

The more thorough and detailed the protocol is, the better.

Typically, minutes are needed for those meetings that have a direct impact on the future of the firm. It is also recommended to record meetings with the participation of representatives of other enterprises and employees of state institutions.

Meeting order

A meeting is not an event that is held, as they say, out of the blue. It requires careful pre-training, which is usually dealt with by a responsible employee appointed for this by a special order of the director. After the end of the meeting, the minutes must be signed by the secretary and the chairman of the meeting, as well as, if necessary, by its participants, who thus confirm that all the information entered into it is correct.

Who should draw up the protocol

The function of taking minutes is usually the responsibility of the enterprise secretary or other employee assigned to perform this mission right at the meeting. At the same time, the person chosen to keep the protocol must have a clear understanding of how and why this is done and have at least minimal skills in writing protocol documents.

Drawing up a protocol

Today, the law does not provide for a strict unified form of the minutes of the meeting, so that organizations can draw it up in any form or according to the model approved in the accounting policy of the company. However, certain information must be included:

  • Document Number;
  • date of creation;
  • name of company;
  • the locality where the company is registered;
  • a list of persons present at the meeting (with the inclusion of their positions, full name);
  • data on the chairman of the meeting and the secretary;
  • agenda (i.e. those issues that need to be addressed);
  • the fact of voting (if any) and its results;
  • the outcome of the meeting.

Sometimes the exact time (up to minutes) of the beginning and end of the meeting is entered into the protocol - this allows you to discipline employees and optimize the time spent on such meetings in the future.

If necessary, some additional documents, photo and video evidence can be attached to the minutes of the meeting. If there are any, their presence should be reflected in the minutes of the meeting as a separate item.

It should be noted that the protocol must be kept very carefully, errors and corrections must be avoided, and it is completely unacceptable to introduce unreliable or deliberately false information into it. If such moments are identified in the event that the internal documentation of the company is checked by regulatory authorities, the company may be severely punished.

Basic rules for registration of the protocol

The protocol, as a rule, is drawn up in a single copy, but if necessary, copies of it can be made, the number of which is not limited.

The document must be signed by the direct compiler, the secretary, as well as all members of the meeting.

You can draw up a protocol on a simple sheet of A4 format or on the letterhead of the organization - this does not matter, just like whether it is kept in handwritten form or filled out on a computer. It is not necessary to certify it with the seal of the enterprise, since since 2016 legal entities by law, they have every right not to use seals and stamps to certify their documentation.
